TIM Terms of Use

These Terms of Service ("Terms") govern your use of TIM — a negotiation support platform operated by "DIALOGICS TECH" Limited Liability Company ("TIM", "we", "us", or "our"). By registering for or using TIM services, you agree to these Terms.
1. Who We Are
TIM is a platform created to help professionals manage business relationships and prepare for negotiations. TIM is operated by "DIALOGICS TECH" Limited Liability Company, incorporated under the laws of Ukraine, which also acts as the controller of personal data processed through the TIM platform.

2. Account Registration
To use TIM, you must:
- Be at least 18 years of age;
- Provide accurate and complete information when creating an account;
- Maintain the confidentiality of your registration credentials.
You are responsible for all activities performed through your account.
2.1. Authorization via Google (Google OAuth)
TIM provides the option to log in using a Google account. When using this authorization method, Google transfers to us your name, email address, avatar, and authorization token. You agree that when authorizing via Google, your data is processed in accordance with Google's terms of use and our Privacy Policy.
2.2. Authorization via Apple (Sign in with Apple)
TIM supports authorization via Apple ID. Apple transfers to us your name (unless hidden), your email address or a pseudonymous Apple address, and an authorization token. Your use of Sign in with Apple is governed by Apple's terms available at apple.com.
3. App Store Distribution and Payments
TIM is distributed through the Apple App Store. All payments for subscriptions or in-app purchases are processed by Apple Inc. through the App Store payment system. By using TIM, you agree to the App Store's terms of service and billing policies. TIM does not process or store your payment information.
App Store License: If you obtained the TIM application through the Apple App Store, your use of the application is also governed by Apple's Standard Licensed Application End User License Agreement ("Standard EULA"), available at: apple.com/legal/internet-services/itunes/dev/stdeula/.
4. Subscription Plans and Billing
TIM provides access to all features through a single, auto-renewing TIM Pro subscription plan.
4.1. TIM Pro Plan — Features
TIM Pro provides access to the full functionality of the platform, including: voice control; synchronization with Google Calendar; reminders and tasks; unlimited number of contacts; advanced AI assistant.

All prices are indicated in US dollars for informational purposes. The actual amount depends on your region and will be displayed in the currency of your App Store account at the time of purchase.
4.3. Free Trial Period and Auto-Renewal
A 3-day free trial period is available exclusively for the annual TIM Pro plan and only for new subscribers. Unless you cancel the subscription at least 24 hours before the end of the trial period, it will automatically convert into a paid subscription.
Weekly and monthly subscriptions do not have a trial period — payment is charged immediately upon subscription. All subscriptions automatically renew unless canceled at least 24 hours prior to the end of the current paid period.
4.4. Subscription Management
You can cancel or modify your subscription at any time in the Apple ID settings on your device. Deleting the TIM application does not cancel an active subscription.
4.5. Refund Policy
All purchases are final and non-refundable. If you subscribed through the App Store, refunds are handled exclusively by Apple in accordance with their policies. To request a refund, please contact Apple Support.
4.6. Changes to Subscription Terms
We reserve the right to modify prices, features, or subscription terms. Any changes will be communicated in advance and will take effect starting from the next billing cycle.
4.7. Promotions and Discounts
TIM may, at its sole discretion, offer promotional codes, trial periods, or discounts. Such offers may be withdrawn or modified at any time and are subject to separate terms communicated at the time the offer is made.
4.8. In-App Purchases and Virtual Items
TIM may offer virtual features or capabilities for purchase within the app. Such purchases are processed by Apple through your Apple ID. All virtual items are non-refundable, non-transferable, and have no monetary value outside of the application.
5. Personal Data and Privacy
Your use of TIM is governed by our Privacy Policy. Please review it carefully. Key points:
- Data you enter (contact profiles, notes, business information) remains private within your TIM account unless you choose to share it;
- TIM does not read or analyze your data, except when technically necessary to provide the requested services;
- You are responsible for the personal data you choose to enter into TIM.
TIM stores user data on a secure cloud infrastructure. In the event of a security breach affecting your personal data, we will notify you without undue delay in accordance with the legislation of Ukraine and the GDPR.
6. Use of AI Services and AI Assistant
TIM includes an AI assistant that utilizes Large Language Models (LLMs) from multiple providers. If you submit a request for analysis or advice:
- TIM may transmit the data you entered (contact names, job titles, companies, notes) to AI services for processing;
- TIM utilizes models from OpenAI (GPT), Anthropic (Claude), and Google (Gemini). All act as data processors under Data Processing Agreements (DPA);
- Each provider may temporarily store prompts (up to 30 days) for safety monitoring purposes;
- AI results are stored only within your private TIM account;
- All AI results are strictly advisory in nature and do not constitute legal, financial, or business advice;
- TIM does not guarantee the accuracy, completeness, or reliability of AI results.
7. Integration with Google Calendar
By using this feature, you understand and agree to the following:
- Access to Google Calendar is granted exclusively after your explicit confirmation via Google OAuth;
- TIM may read your calendar events, create new events, and edit existing ones solely for the purpose of providing negotiation preparation functionality;
- TIM does not transfer your Calendar data to third parties and does not store it centrally outside the app's functionality;
- You can revoke TIM's access to Google Calendar at any time through your Google Account settings (myaccount.google.com → Security → Third-party apps);
- TIM is not liable for any consequences related to events created or modified in Google Calendar through the app's features if such actions were initiated by you.
Google API Services User Data Policy Compliance
The use and transfer of information received from Google APIs by TIM will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
TIM only uses Google user data to provide and improve user-facing features that are clearly visible in the application, such as creating calendar events, accessing user-selected contacts, and supporting assistant functionality requested by the user.
TIM does not sell Google user data. TIM does not use Google user data for advertising purposes. TIM does not transfer Google user data to third parties except as necessary to provide or improve the app's user-facing features, comply with applicable law, address security issues, or as otherwise permitted by the Google API Services User Data Policy.
Google user data is handled securely and only retained for as long as necessary to provide the requested functionality.
8. Content Standards and User Responsibility
You agree not to upload, enter, or transmit to TIM:
- Special categories of personal data (health data, racial or ethnic origin, political opinions, religious beliefs, sexual orientation, etc.);
- Content that is unlawful, defamatory, fraudulent, or otherwise violates applicable laws;
- Content containing hate speech, threats, harassment, or discrimination;
- Content that infringes upon the intellectual property rights or privacy rights of others.
By entering any content into TIM, you confirm that you possess all necessary rights and legal grounds to submit such content. You bear full responsibility for all content you enter into TIM.
9. Opt-Out Requests
TIM provides mechanisms for individuals who wish to opt out of the processing of their publicly available professional data. To submit an opt-out request, please contact: info@tim-app.com
10. Service Availability
TIM strives to ensure high availability of the platform. However, the service may be temporarily unavailable in the event of: preventive maintenance; system updates; or technical failures beyond our control. TIM is not liable for damages caused by the temporary unavailability of the service.
11. Changes to the Service
TIM may modify, suspend, or discontinue any part of the service at any time, with or without notice. We are not liable for any losses or inconveniences caused by such changes.
12. Intellectual Property
TIM and its content (excluding data entered by the user) are protected by copyright and other intellectual property laws. It is prohibited to reproduce, distribute, or modify any part of TIM without our prior written permission.
Third-Party Services: The TIM platform may contain links to third-party websites, services, or resources (specifically Google, Apple, OpenAI, Anthropic). Such services are not under TIM's control and we are not responsible for their availability or content.
Feedback and Ideas: If you submit any ideas, suggestions, or feedback regarding TIM, you grant TIM a worldwide, royalty-free, irrevocable, perpetual, and transferable license to use them for any purpose.
13. Limitation of Liability
TIM provides its services "as is". To the maximum extent permitted by law:
- TIM provides no warranties regarding the accuracy, completeness, or reliability of results generated by AI services;
- TIM is not liable for any indirect, incidental, or consequential damages arising from the use of TIM;
- TIM is not liable for the actions or omissions of third-party AI providers (OpenAI, Anthropic, Google) or the Google Calendar API.
This limitation does not apply in cases where liability cannot be excluded by law. All AI results are provided solely for informational purposes and do not constitute legal, financial, or business advice.
14. Indemnification
You agree to indemnify and hold harmless "DIALOGICS TECH" LLC, its owners, and employees from any claims, damages, or expenses (including legal fees) arising in connection with: (a) your content; (b) your violation of these Terms or applicable law; (c) your use of the Service; (d) the unauthorized or improper use of the Google Calendar feature or the AI assistant.
15. Changes to the Terms
We may update these Terms. We will notify you of material changes via email or through in-app notifications. Continued use of TIM after changes are made constitutes your agreement to the updated Terms.
16. Termination
Either party may terminate this Agreement at any time. TIM has the right to immediately suspend or terminate your access in the event that you violate these Terms, fail to pay fees, or create legal risks for TIM. Upon termination, your license to use the Service terminates, but the Intellectual Property, Limitation of Liability, Indemnification, and Governing Law sections shall remain in effect.
17. Governing Law
These Terms are governed by the laws of Ukraine, without regard to conflict of law provisions. All disputes are subject to consideration in the competent courts of Ukraine.
